TERMS AND CONDITIONS OF SERVICE

1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and SHIELDGATE CYBER LLC, a Florida limited liability company ("ShieldGate," "we," "us," or "our"). By subscribing to, accessing, or using our AI communication and cybersecurity services, you agree to be bound by these Terms.
2. Services Provided
SHIELDGATE CYBER provides the following services depending on your selected subscription plan:
• 24/7 AI-powered phone answering via intelligent voice agents
• Automated SMS text message responses to inbound callers and leads
• Automated email response and routing • CRM integration (Zoho) for lead logging and pipeline management • Appointment scheduling and confirmation
• Cybersecurity monitoring and threat alerts (Gold plan) Service features vary by plan (Basic, Silver, Gold) as described on our pricing page.
3. Subscription Plans and Payment
3.1 Billing
Services are billed monthly in advance. By providing payment information, you authorize ShieldGate AI to charge your payment method on a recurring monthly basis.
3.2 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
3.3 Price Changes
We reserve the right to change pricing with 30 days advance notice. Continued use of the service after a price change constitutes acceptance of the new pricing.
4. SMS Messaging
Terms By using our services, you agree to the following SMS-specific terms:
4.1 Client Responsibilities
As a business client using ShieldGate AI to send SMS messages to your customers, you agree to:
• Obtain prior express written consent from all end-users before sending them SMS messages through our platform
• Maintain records of consent for all end-users
• Honor all opt-out requests within 24 hours
• Include your business name in all SMS messages sent through the platform
• Comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable federal, state, and local laws
• Not use the platform to send spam, unsolicited messages, or messages to purchased contact lists
4.2 Prohibited SMS Uses
You may not use our SMS service to send messages that are:
• Unsolicited or without proper consent
• Fraudulent, deceptive, or misleading
• In violation of TCPA, CTIA, or carrier guidelines
• Related to illegal activities or controlled substances
• Harassing or abusive in nature
4.3 Carrier Compliance
SHIELDGATE CYBER uses Twilio's telecommunications infrastructure. All messaging must comply with Twilio's Acceptable Use Policy and the guidelines set by wireless carriers. We reserve the right to suspend service immediately if your use violates carrier policies or results in spam complaints.
5. Acceptable Use
You agree not to use SHIELDGATE CYBER services to:
• Impersonate any person or business
• Engage in fraudulent or deceptive practices
• Transmit malware, viruses, or malicious code
• Violate the privacy or rights of third parties
• Interfere with the operation of our services or infrastructure
6. Intellectual Property
All software, AI models, branding, website content, and materials provided by ShieldGate CYBER are the intellectual property of SHIELDGATE CYBER LLC. You are granted a limited, non-exclusive, non-transferable license to use the services for your business purposes only.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIELDGATE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 30 DAYS PRECEDING THE CLAIM.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL CALLS WILL BE SUCCESSFULLY ANSWERED. WE TARGET 99.9% UPTIME BUT DO NOT GUARANTEE IT.
9. Indemnification
You agree to indemnify and hold harmless SHIELDGATE CYBER LLC and its officers, directors, employees, and agents from any claims, damages, or expenses (including attorney's fees) arising from your use of the services, your violation of these Terms, or your violation of any third-party rights including TCPA violations resulting from your improper collection of end-user consent.
10. Governing Law
These Terms are governed by the laws of the State of Florida. Any disputes shall be resolved in the courts of Brevard County, Florida.
